Terms of Service

1. Acceptance of Terms

By accessing or using Vervi, you confirm that you are at least 18 years of age (or the age of legal majority in your jurisdiction), that you have read, understood, and agree to be bound by these Terms and our Privacy Policy, and that you have the legal authority to enter into this agreement.

If you are using Vervi on behalf of a business or organisation, you represent that you have authority to bind that entity and that these Terms apply to the entity as a whole.

2. User Accounts

• You must provide accurate, current, and complete information when registering.
• You are responsible for maintaining the confidentiality of your credentials.
• You are responsible for all activity that occurs under your account.
• You must notify us immediately at support@vervi.in if you suspect unauthorised access.
• You may not share, transfer, or sell your account to another person.
• We reserve the right to reclaim usernames that violate our policies.

3. Acceptable Use Policy

You agree to use Vervi only for lawful purposes and in a manner consistent with these Terms. You must not:

• Post, upload, or share content that is illegal, defamatory, abusive, obscene, or violates any third-party rights.
• Harass, threaten, impersonate, or intimidate other users or Vervi employees.
• Use the Services to distribute spam, phishing messages, or unsolicited commercial communications.
• Attempt to gain unauthorised access to our systems, other users' accounts, or our infrastructure.
• Reverse-engineer, decompile, disassemble, or attempt to extract source code from any part of the Services.
• Use automated scripts, bots, or scrapers to access the Services without our prior written consent.
• Upload or transmit viruses, malware, or any other malicious code.
• Use the Services to facilitate illegal activities, including but not limited to money laundering, fraud, or infringement of intellectual property.

4. Subscription Terms

Vervi offers both free and paid subscription plans. Paid plans are billed on a monthly or annual basis as selected at checkout. All prices are displayed in Indian Rupees (INR) or US Dollars (USD) and are inclusive of applicable taxes unless stated otherwise.

Your subscription automatically renews at the end of each billing period unless you cancel before the renewal date. You authorise us to charge your payment method on file for the applicable subscription fee each period.

We reserve the right to change subscription prices with 30 days' notice. Continued use after the price change takes effect constitutes acceptance of the new pricing.

5. Billing and Payments

• Payments are processed by Stripe, Razorpay, Cashfree, or PayPal depending on your region.
• All charges are non-refundable except as set out in our Refund Policy.
• If a payment fails, we may suspend your account until payment is resolved.
• You are responsible for any taxes, duties, or levies applicable in your jurisdiction beyond those we collect.
• Invoices and payment history are available in your account dashboard.

6. Intellectual Property

All content, features, code, design, trademarks, and materials comprising the Vervi platform are the exclusive property of Vervi or its licensors and are protected by applicable intellectual property laws. Nothing in these Terms transfers any ownership rights to you.

We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for your personal or internal business purposes in accordance with these Terms.

Your Content: You retain ownership of any content you upload or create on Vervi. By submitting content, you grant Vervi a worldwide, royalty-free, non-exclusive licence to host, store, reproduce, and display that content solely for the purpose of providing the Services to you.

7. AI-Generated Content Disclaimer

Vervi integrates AI-powered features including but not limited to text generation, summarisation, and automation. You acknowledge and agree that:

• AI-generated outputs may be inaccurate, incomplete, or inappropriate for your specific context. Always review AI outputs before relying on them.
• You are solely responsible for how you use, publish, or act upon AI-generated content.
• AI outputs do not constitute professional, legal, medical, financial, or other regulated advice.
• We make no warranty regarding the accuracy, reliability, or fitness for purpose of AI-generated content.
• Vervi does not use your private inputs to train shared AI models without your explicit consent.

8. Service Availability

We strive to maintain high availability but do not guarantee uninterrupted access. We may perform scheduled maintenance (with advance notice where practicable) or experience unplanned outages. We are not liable for any loss or damage resulting from downtime.

We reserve the right to modify, suspend, or discontinue any feature or the entire Service at any time with reasonable notice, and without liability to you except as required by applicable law.

9. Termination

By You: You may close your account at any time through account settings. Closure takes effect at the end of your current billing period for paid plans.

By Us: We may suspend or terminate your account immediately, with or without notice, if you breach these Terms, engage in fraudulent activity, or if required by law. Upon termination, your right to use the Services ceases immediately. Data deletion is governed by our Privacy Policy.

10. Limitation of Liability

Important — Please Read Carefully

To the maximum extent permitted by applicable law, Vervi and its affiliates, officers, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, punitive, or exemplary damages — including loss of profits, data, goodwill, or business opportunities — arising out of or in connection with these Terms or the use or inability to use the Services.

Our total aggregate liability to you for any claims arising under or relating to these Terms shall not exceed the greater of (a) the amount you paid to Vervi in the 12 months preceding the claim or (b) INR 1,000 (One Thousand Indian Rupees).

11. Indemnification

You agree to indemnify, defend, and hold harmless Vervi and its affiliates, officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or relating to your use of the Services, violation of these Terms, violation of any applicable law, or infringement of any third-party rights.

12. Governing Law

These Terms are governed by and construed in accordance with the laws of India, without regard to its conflict of law principles. The courts of Goa, India shall have exclusive jurisdiction over any dispute arising out of or relating to these Terms, subject to the arbitration clause below.

13. Dispute Resolution

We encourage you to contact us first at support@vervi.in to resolve any dispute informally. Most concerns can be resolved quickly this way.

If informal resolution fails, any dispute, controversy, or claim arising out of or relating to these Terms shall be referred to and finally resolved by arbitration in accordance with the Arbitration and Conciliation Act, 1996 of India. The seat of arbitration shall be Goa, India. The language of arbitration shall be English.

Nothing in this clause prevents either party from seeking urgent injunctive relief from a competent court.

14. General Provisions

• Entire Agreement: These Terms, together with the Privacy Policy and Refund Policy, constitute the entire agreement between you and Vervi.
• Severability: If any provision is found unenforceable, the remaining provisions continue in full force.
• Waiver: Failure to enforce any right does not constitute a waiver of that right.
• Assignment: You may not assign these Terms without our prior written consent. We may assign our rights and obligations without restriction.
• Updates: We may update these Terms. Material changes will be communicated via email or in-app notice at least 14 days before taking effect.
